CONSIGNMENT TERMS & CONDITION

This Consignment Agreement is entered into between AL ATAA READYMADE GARMENTS TRADING LLC (LA SUITE…), hereinafter referred to as “La Suite…” or the “Consignee”, and the person consigning the items, hereinafter referred to as the “Consignor.”

By consigning items with La Suite…, the Consignor acknowledges and agrees to the following Terms & Conditions.

1. ONLINE CONSIGNMENT REPORT

An email will be sent to the email address provided by the Consignor, containing a link to access their personal online account and the information required to log in.

For security purposes, La Suite… recommends that the Consignor creates a personal and secure password and keeps their login credentials confidential.

The Consignor’s personal account can be accessed at: http://database.lasuite.ae/

Through this account, the Consignor can track the status and sales of all selected items.

Please note that the account is currently accessible on desktop or laptop only.

It is the Consignor’s responsibility to regularly review their online consignment report and remain informed of the status of their consigned items, including sales, price adjustments, returns and other relevant updates.

La Suite… shall not be responsible for the Consignor’s failure to access or review their online consignment report.

2. OWNERSHIP & AUTHENTICITY

By consigning an item with La Suite…, the Consignor confirms that they are the lawful owner of the item, or are duly authorised by the lawful owner to sell it, and that the item is authentic and legally eligible for resale.

For certain luxury items, La Suite… reserves the right to request any supporting documentation reasonably required to establish authenticity, including, but not limited to, original purchase receipts or invoices, authenticity cards, certificates, serial numbers or any other relevant documentation available to the Consignor.

The acceptance of an item for consignment does not constitute confirmation or guarantee of its authenticity. La Suite… reserves the right to refuse, withdraw or return an item at any time should concerns arise regarding its authenticity, ownership or provenance.

AUTHENTICATION OF LUXURY HANDBAGS

Where the Consignor is unable to provide sufficient proof of authenticity for a luxury handbag, or where La Suite… considers additional authentication necessary, La Suite… may submit the item to Entrupy, an independent third-party authentication service.

Upon successful authentication, an authenticity certificate will be issued. A copy of this certificate may be provided to the Consignor and/or to the purchaser of the handbag.

The cost of Entrupy authentication is entirely borne by the Consignor and is currently:

  • AED 180 per luxury handbag

  • AED 500 per Hermès handbag

The applicable authentication fee may be payable directly by the Consignor or deducted from any amounts owed by La Suite… to the Consignor.

Authentication fees are non-refundable once the authentication process has been initiated.

If an item does not successfully pass the authentication process, La Suite… reserves the right to immediately withdraw the item from sale and return it to the Consignor. Any authentication and return or delivery costs incurred will remain the responsibility of the Consignor.

3. CONDITION OF ITEMS

La Suite… reserves the right to refuse any item that does not meet its quality or condition standards.

Should an item require professional cleaning, repair or other treatment due to its condition at the time of consignment, or as a result of a pre-existing defect, La Suite… will inform the Consignor before incurring any material cost. Any agreed cleaning, repair or treatment costs will be borne by the Consignor and may be deducted from the Consignor’s sale proceeds or any other amounts owed by La Suite… to the Consignor.

4. PRICING & PRICE ADJUSTMENTS

The initial selling price of each item will be determined by La Suite… based on its expertise, the item’s brand, condition, desirability, current retail price and prevailing resale market conditions.

The selling price will be indicated in the Consignor’sonline consignment report.

La Suite… may recommend price adjustments during the consignment period where considered appropriate to improve the likelihood of a sale.

Any specific pricing arrangement agreed between La Suite… and the Consignor will apply.

Any price adjustment or promotional discount shall be subject to the conditions and authorisations set out in Section 5 (Sale, Promotion & Display of Consigned Items) and Section 6 (Consignment Period).

5. SALE, PROMOTION & DISPLAY OF CONSIGNED ITEMS

La Suite… will use reasonable efforts to promote and sell the Consignor’s items during the agreed consignment period. However, La Suite… does not guarantee that any consigned item will be sold.

Consigned items may be offered for sale at La Suite…’s retail boutique, through its online store and, where appropriate, at external events, pop-ups, private sales or other promotional activities.

La Suite… reserves the right to determine where and how each item is displayed and offered for sale.

La Suite… also reserves the right to select which items are featured on its online store. Only items considered by La Suite… to be in pristine or excellent condition may be listed online. Items showing stains, marks, damage or other visible imperfections may, at La Suite…’s discretion, be excluded from the online store while remaining available for sale through other channels.

By entering into this Agreement, the Consignor authorises La Suite… to photograph and/or film the consigned items and to use such images or videos for the purpose of promoting and selling the items, including on La Suite…’s website, social media channels and other marketing or communication platforms.

If the Consignor does not wish for a specific item to be photographed, filmed or featured on social media or other promotional channels, this must be expressly communicated to La Suite… at the time of consignment, clearly identifying the item(s) concerned.

PROMOTIONAL DISCOUNTS

From time to time, La Suite… may participate in promotional campaigns, private sales, events or other special offers.

For items with an initial selling price below AED 2,000, La Suite… is authorised to apply promotional discounts of up to 15% of the current selling price without requiring prior approval from the Consignor.

For items with an initial selling price of AED 2,000 or above, a Minimum Selling Price will be agreed with the Consignor at the time the item is accepted for consignment and recorded in La Suite… 's system.

Once a Minimum Selling Price has been agreed, La Suite… may apply promotional discounts or accept offers without further approval from the Consignor, provided that the final selling price does not fall below the agreed Minimum Selling Price.

Any discount exceeding 15% on an item with an initial selling price below AED 2,000, or any sale below an agreed Minimum Selling Price, will require the Consignor’s prior approval.

The above promotional discount limits do not apply to the automatic 25% price reduction provided for under Section 6 (Consignment Period), which the Consignor expressly authorises by accepting these Terms & Conditions, subject to any previously agreed Minimum Selling Price.

6. CONSIGNMENT PERIOD

La Suite… keeps the Consignor’s items on consignment for an initial period of three (3) months, starting from the date the items are made available for sale, as indicated in the Consignor’s online consignment report.

AT THE END OF THE THREE-MONTH CONSIGNMENT PERIOD

If an item remains unsold at the end of the initial three (3)-month consignment period, the Consignor will receive a reminder and may choose one of the following options:

  • Extend & Reduce: Extend the consignment period for one (1) additional month, with a 25% reduction applied to the current selling price, subject to any Minimum Selling Price previously agreed with the Consignor.

  • Collect: Collect the unsold item from La Suite… within seven (7) days from the date the reminder is sent.

  • Donate: Authorise La Suite… to donate the item to a charity or charitable organisation selected by La Suite….

If the Consignor is unable to collect their item(s) within thespecified timeframe, La Suite… may arrange for their return via Careem Box or another suitable delivery service, at the Consignor’s expense.

AUTOMATIC EXTENSION AND PRICE REDUCTION

If no response is received within seven (7) days of the reminder sent at the end of the initial three-month consignment period, the Consignor expressly authorises La Suite… to extend the consignment period for one (1) additional month and apply an automatic 25% reduction to the current selling price.

Any previously agreed Minimum Selling Price must be respected. Where the 25% reduction would result in a price below the agreed Minimum Selling Price, the selling price will not be reduced below that minimum without the Consignor’s prior approval.

UNCLAIMED ITEMS & STORAGE FEES AFTER FOUR MONTHS

Before the end of the fourth month, La Suite… will send a final reminder requesting the Consignor to collect any unsold items or arrange their return before the four-month consignment period expires.

If the items remain unclaimed after this period, the following conditions will apply:

  • Items with an initial selling price below AED 800: La Suite… may donate these items to Thrift for Good or another charitable organisation of its choice.

  • Items with an initial selling price of AED 800 or above: The items will no longer be offered for sale, and a storage and administrative fee of AED 75 per item, per month or part thereof will apply immediately after the four-month consignment period expires, until the items are collected or returned.

Any outstanding storage, delivery or other applicable fees may be deducted from amounts owed by La Suite… to the Consignor. Where no amount is owed, all outstanding fees must be settled before the items are released or returned.

By accepting these Terms & Conditions, the Consignor expressly authorises La Suite… to donate unclaimed items with an initial selling price below AED 800 once the four-month consignment period has expired and the final reminder has been sent.

7. EARLY COLLECTION

Should the Consignor wish to withdraw an item before the end of the agreed three (3)-month consignment period, an early collection fee will apply to cover the administrative, handling, storage and promotional costs already incurred by La Suite….

  • Items with an initial selling price below AED 800: AED 80 per item.

  • Items with an initial selling price of AED 800 or above: AED 150 per item.

Any authentication, cleaning, repair or other costs already incurred in relation to the item will remain payable by the Consignor in addition to the applicable early collection fee.

8. SALE PROCEEDS & PAYMENT OPTIONS

For each item sold, the Consignor may choose between cash payment and store credit, according to the following commission structure:

* Choosing store credit entitles the Consignor to an additional five (5) percentage points of the final selling price compared to cash payment.

For exceptional or high-value luxury items subject to an individually agreed commission rate, the same additional five (5) percentage points will apply unless otherwise agreed in writing.

The applicable commission rate is determined by the initial selling price agreed upon at the time of consignment and remains unchanged throughout the consignment period, regardless of any subsequent price reductions, promotional discounts or negotiated offers.

The Consignor's proceeds are calculated based on the final selling price, using the commission rate initially assigned to the item.

9. CUSTOMER RETURN & COMPLETION OF SALE

An item will only be considered successfully sold once the transaction has been completed and any applicable customer return or cancellation period has expired.

If an item is returned by the buyer in accordance with La Suite…’s applicable return policy, the item will be returned to the Consignor’s active consignment inventory and will not be considered sold for the purpose of calculating or requesting payment.

10. PAYMENT

Once a sale has been successfully completed, the Consignor may contact La Suite… and provide their bank details to request payment.

Bank transfers are processed twice per month, on the 5th and 20th of each month.

If a scheduled payment date falls on a public holiday or non-business day, payment will be processed on the next business day. Payment requests received after a payment run will be processed on the following scheduled payment date.

Cash payment may also be arranged upon request. The Consignor should notify La Suite… in advance so that sufficient cash can be made available.

The Consignor is responsible for providing complete and accurate payment information. La Suite… shall not be responsible for delays resulting from incorrect or incomplete bank details provided by the Consignor.

11. CARE, LOSS & DAMAGE

La Suite… will exercise reasonable care when handling, storing and displaying all consigned items while they are under its direct custody.

In the event that an item is lost, stolen or materially damaged while under La Suite…'s direct custody, La Suite… will review the circumstances of the incident with the Consignor in good faith.

Where La Suite… is found responsible for such loss or damage, any compensation will be assessed based on the item's agreed resale value, condition, age, and the extent of the loss or damage.

As a general principle, compensation will be calculated by reference to the net amount the Consignor would have received had the item been sold at its agreed selling price, rather than the item's original retail purchase price.

In cases of partial damage, La Suite… may propose professional repair, restoration or another appropriate resolution, taking into consideration the nature and extent of the damage.

La Suite… shall not be responsible for normal wear and tear, natural deterioration, pre-existing or hidden defects, colour fading, or deterioration resulting from the age, material, condition or inherent fragility of an item, except where liability cannot lawfully be excluded.

Where an item is transported by an independent courier or delivery provider, any loss or damage occurring during transportation may be subject to the applicable courier or delivery provider's terms and liability conditions. Nothing in this provision excludes any responsibility that La Suite… cannot lawfully exclude.

Nothing in this clause limits any rights or remedies that cannot be excluded under applicable law.

12. COMMUNICATION

The Consignor is responsible for ensuring that the email address, telephone number and other contact information provided to La Suite… remain accurate and up to date.

All notices, reminders and communications relating to consigned items may be sent by email, WhatsApp or any other communication channel agreed with the Consignor, using the contact details provided.

The Consignor is responsible for regularly reviewing their communications and online consignment report.

Notices and reminders will be considered sent when dispatched by La Suite… to the latest contact details provided by the Consignor, provided that La Suite… retains a reasonable record of such communication.

Failure to receive or review a communication due to outdated or incorrect contact information, or failure to respond to a reminder, does not relieve the Consignor of their responsibilities under these Terms & Conditions.

The procedures relating to unanswered reminders, automatic price reductions, collection, donation and storage fees are governed by Section 6 (Consignment Period), subject to applicable law.

13. ACCEPTANCE OF TERMS

By signing the Consignment Acknowledgement & Key Terms in-store, the Consignor confirms their acceptance of La Suite…'s consignment conditions.

The full Consignment Terms & Conditions will be made available to the Consignor prior to signing and subsequently provided by email or WhatsApp for their reference and records.

The signed Consignment Acknowledgement & Key Terms and the full Consignment Terms & Conditions together form the consignment agreement between La Suite… and the Consignor.
